AGREEMENT
These Terms and Conditions, together with our Privacy Policy and (where applicable) our Membership Terms and Conditions, govern your use of Navia HQ Pty Ltd's (ABN 83 679 358 144) ("Navia", "we", "our" or "us") facilities, services, and website located at naviabathhouse.com.au.
In these Terms, "Navia Bathhouse" or "the Bathhouse" refers to any Navia Bathhouse location operated by us or our related entities in Australia, whether existing as at the date of your visit or opened thereafter. A current list of locations is available on our website.
By entering any Navia Bathhouse premises, purchasing any Navia product, making a booking, or accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms alongside our Privacy Policy. If you do not agree with these documents in their entirety, you are prohibited from accessing the Bathhouse facilities or using our website.
We reserve the absolute right to modify these terms and conditions and our privacy policy at our sole discretion without prior notice. It is your responsibility to review our current terms and conditions and privacy policy as published on our website each time you use the Bathhouse or access our website.
Your continued use of the Bathhouse or website following any modifications to these documents constitutes your acceptance of those changes. These documents, as amended from time to time, shall
remain in full force and effect throughout your use of the Bathhouse and website until terminated in accordance with the provisions set forth herein.
BATHHOUSE RULES AND REGULATIONS
The Navia Bathhouse encompasses all facilities and services including, but not limited to, general Bathhouse access, therapeutic treatments, wellness classes, special events, and educational workshops.
All bookings for Navia Bathhouse services must be made in accordance with the booking provisions outlined in these Terms. You may access and use the Navia Bathhouse either as a guest without membership privileges or as a member by obtaining a membership plan, subject to availability and our approval.
We reserve the right to modify, suspend, or remove any features of the Navia Bathhouse without prior notification. This includes our discretion to alter class schedules, discontinue specific treatments, or temporarily close the Bathhouse (or any location) for any operational, maintenance, or business purpose.
Access hours for each Bathhouse location will be communicated through our website and may be adjusted at our sole discretion. We may modify operating hours or close any facility for capacity management, private events, essential maintenance requirements, or any other operational necessity we deem appropriate.
Access to certain Bathhouse features and amenities may be restricted based on the specific terms and conditions associated with the particular product or service you have purchased, with such restrictions disclosed at the point of purchase.
CONDUCT
All areas within the Navia Bathhouse, with the exception of designated changing rooms and private massage treatment rooms, are strictly no-nudity zones. This policy must be observed at all times without exception. Navia is committed to fostering and maintaining an inclusive, respectful, and welcoming environment for all patrons regardless of background, body type, or personal circumstances.
You are required to demonstrate respect, courtesy, and consideration for all individuals within the Bathhouse. Should we determine that you have verbally or physically caused discomfort, harassment, intimidation, or distress to any person, we retain the right to request your immediate departure from the premises and refuse all future access to our facilities.
You must comply with all instructions, directions, and guidance provided by Navia staff members at all times. You acknowledge that failure to follow staff instructions is undertaken entirely at your own risk and may result in serious injury, harm, or danger to yourself or other patrons.
You must not:

utilise the Bathhouse or any Bathhouse feature outside its intended purpose or in any manner not specifically authorised by our staff;

obstruct or interfere with any entrances, exits, emergency routes, or common areas;
-
engage in unsafe, dangerous, reckless, or inappropriate conduct that may endanger yourself or others;
-
cause damage to pools, pool & bathhouse equipment, furniture, fixtures, or any other Bathhouse property; or
-
engage in any sexual, inappropriate, or offensive behaviour that may disturb, upset, or make uncomfortable other patrons.
Substances
The introduction, possession, or use of illicit substances, illegal drugs, or controlled substances within any Bathhouse premises is strictly prohibited under all circumstances. Alcohol consumption is similarly prohibited unless expressly authorised by us in writing for specific special events or occasions. Patrons who exhibit signs of intoxication, impairment, or substance abuse may be denied entry and may face permanent exclusion from our facilities.
HEALTH AND MEDICAL REQUIREMENTS
By using any Navia Bathhouse facility, you represent and warrant that you are medically fit to undertake hot and cold bathing, physical exertion, and exposure to extreme temperatures, and that you have no medical condition that may be adversely affected by such activity. We recommend that you consult a qualified medical practitioner before using the Bathhouse if you have any concerns about your physical fitness or medical condition.
You are required to disclose at the time of booking, or directly to our reception staff prior to entry, any medical condition, health issue, physical limitation, or circumstance that might be complicated, aggravated, or adversely affected by Bathhouse usage, or that may require increased supervision, special accommodation, or priority medical response.
Mandatory medical clearance: If you have any of the conditions listed below, you must obtain written clearance from a qualified medical practitioner certifying that you are fit to safely use the Bathhouse, and provide a copy of that clearance to us, before using any Bathhouse facility:

high fever or elevated body temperature;

extreme hypertension or severe blood pressure irregularities;
-
malignant tumours, cancerous conditions, or ongoing cancer treatment;
-
liver disorders, kidney dysfunction, or circulation impairments;
-
conditions presenting high haemorrhaging risk or blood clotting disorders;
-
anaemic conditions or blood-related disorders;
-
congestive heart failure, recent stroke, recent heart attack, or other serious cardiac conditions;
-
pregnancy at any stage;
-
diabetes or blood sugar regulation disorders; or
-
any other condition that may be negatively affected by temperature extremes or physical exertion.
For the health and safety of our staff and patrons, we reserve the right to refuse service to anyone who is visibly unwell or who we reasonably believe may pose a health or safety risk.
Certain aspects of Navia Bathhouse operations, including but not limited to wellness classes, therapeutic treatments, and general facility use, may involve significant physical exertion, exposure to extreme temperatures, and inherent risks associated with wellness activities. By participating, you
voluntarily accept full acknowledgment and responsibility for potential risks including personal injury, property loss, or death.
You should refer to the comprehensive liability provisions detailed in the liability section of these terms for complete understanding of risk allocation.
PERSONAL PROPERTY
We assume no responsibility for the security, protection, loss, theft, damage, or destruction of personal property brought onto our premises. We strongly recommend leaving valuable items at home and taking appropriate measures to secure any personal belongings you choose to bring to the facility.
COMMUNICATIONS
Our primary method of communication with both members and guests will be through email correspondence. It is your absolute responsibility to provide accurate and current contact details during registration and to ensure that your designated email address is regularly monitored for important communications, updates, and correspondence from us.
BOOKINGS
All Navia Bathhouse bookings must be processed through our designated booking system accessible via our website, which serves as the primary booking method. Alternative booking methods include telephone reservations during our designated business hours and in-person booking at the Bathhouse reception during regular operating hours.
Additional booking terms, restrictions, and conditions will be communicated during the booking process and must be acknowledged and accepted before booking completion.
Bathhouse Sessions
Bathhouse access bookings relate to a specified time period with clearly defined entry and exit times. Unless alternative specifications are clearly stated at the time of booking, each session will be exactly two hours in duration. This two hours includes your time within the changing room facilities.
A maximum of two separate sessions may be booked per individual per calendar day.
At the conclusion of your session, you must vacate all Bathhouse facilities, though changing room and reception facilities may remain accessible for a reasonable transition period as determined by our staff.
Arrival
All bookings are subject to availability and remain subject to the specific terms, conditions, and restrictions associated with the particular Navia product, service, or package you have purchased. Guests are strongly advised to arrive a minimum of 10 minutes prior to their session commencement to allow adequate time for check-in. For classes, you must arrive at least 10 minutes before the scheduled start time, as late entry will not be permitted to avoid disruption to other participants.
Cancellations and No-Shows
Bookings cancelled more than 12 hours before the scheduled session may be cancelled free of charge. Cancellations within 12 hours of the booking will incur a $10 cancellation fee, and failure to attend without notice (no-show) will incur a $20 no-show fee. Treatment bookings must be cancelled at least 24 hours prior to the session; cancellations within 24 hours, and no-shows, are non-refundable and non-exchangeable.
Future Offerings
We anticipate expanding our Bathhouse offerings to include additional specialised workshops, therapeutic treatments, wellness programs, and special events. Specific booking terms, pricing, availability, and restrictions for these services will be communicated upon their introduction.

All bookings are strictly contingent upon availability and remain subject to the specific terms, conditions, and restrictions associated with the particular Navia product, service, or package you have purchased, including any limitations or restrictions disclosed at the time of purchase. Guests are

For classes specifically, you must arrive at least ten minutes before the scheduled start time, as late entry will not be permitted under any circumstances to avoid disruption to other participants.

structures, availability, and restrictions for these services will be communicated upon their implementation and introduction to our service offerings.
MEMBERSHIPS
We offer multiple membership options featuring varying levels of access, benefits, and privileges. To become a member you must enter into a Membership Agreement with us and comply with the Membership Terms and Conditions, which are available on our website and which govern all member-specific matters including:

membership types and their respective terms;

billing, payment, and direct debit arrangements;
-
fee increases and notice requirements;
-
membership suspension;
-
membership cancellation, including any early cancellation fees; and
-
any cross-location access arrangements.
All memberships are non-transferable and may only be used by the individual who entered into the relevant Membership Agreement. Any member found sharing, lending, transferring, or otherwise allowing unauthorised use of their membership will be denied entry and may have their membership cancelled in accordance with the Membership Terms and Conditions.
Unless otherwise specifically stated in your Membership Agreement, members are eligible for exclusive discounts on select purchases including retail products, specialised classes, workshops, private treatments, and ticketed special events.
We reserve the right to modify, add, remove, suspend, or discontinue membership plans from time to time. Existing members will not be affected by changes during any applicable minimum commitment period, and any change in membership fees will be subject to 30 days' written notice as set out in the Membership Terms and Conditions.
GIFT CARDS
Gift cards issued by Navia are governed by the following terms:

Gift cards are not redeemable for monetary value, cash equivalent, or any form of financial compensation.

Gift cards have a validity period of 36 months from the date of original issuance, in accordance with the Australian Consumer Law.

Gift cards are non-transferable between individuals, accounts, or third parties.

Gift cards remain subject to all terms and conditions applicable to the specific services, treatments, or products they represent.

We do not provide refunds, transfers, suspensions, extensions, or modifications for gift cards except as required by the Australian Consumer Law.

We accept no liability for gift cards that are lost, stolen, destroyed, damaged, misplaced, or used without proper authorisation. The risk of loss, theft, or unauthorised use remains with the holder.
PAYMENT AND PRICING
Payment for services, treatments, and products may be made online via our website using secure payment processing systems, by telephone during designated business hours, or in person at our reception.
Credit card payments are subject to potential surcharges dependent on the specific card type used, with surcharge amounts disclosed before payment completion. All payment processing is governed by our third-party payment processors (Stripe and Square) and applicable banking regulations.
All prices displayed and charged are in Australian dollars and are inclusive of Goods and Services Tax unless otherwise specified. All prices are subject to modification without prior notice at our sole discretion (subject, for members, to the notice requirements in the Membership Terms and Conditions).
Promotional discounts, special offers, seasonal promotions, and membership benefits are offered at our discretion and may be modified or discontinued at any time.
REFUND POLICY
Your rights under the Australian Consumer Law are not affected by these Terms. You are entitled to a refund, replacement, or other remedy where required by the Australian Consumer Law
Outside of those statutory rights, and to the extent permitted by law, we do not provide refunds, credits, exchanges, transfers, or any form of monetary compensation for:

one-off access passes or day passes;
-
pass packs of any denomination or type;
-
memberships of any kind or duration (refer to the Membership Terms and Conditions for cancellation rights);
-
gift cards, regardless of remaining balance or time remaining;
-
bulk purchases or sale items;
-
classes whether attended or missed;
-
events, workshops, or special programs; or
-
treatments or services whether completed, cancelled, or rescheduled.
This policy applies regardless of circumstances including change of mind, dissatisfaction with services or facilities, scheduling conflicts, or other personal, external, or unforeseen factors, but does not affect your rights under the Australian Consumer Law.
AGE REQUIREMENTS AND MINOR POLICIES
Navia Bathhouse utilisation and access is strictly restricted to individuals meeting specific age requirements. All facility users must be aged twelve years or older for any level of facility access or service utilisation.
Individuals under eighteen years of age must be accompanied by a parent or legal guardian at all times during their visit and participation in any activities.
All minors require explicit parental or legal guardian permission and continuous direct supervision during all activities, treatments, and facility usage.
Minors who access Navia Bathhouse facilities or utilise our website must have a parent or legal guardian acknowledge and accept comprehensive binding terms on their behalf. The parent or guardian must warrant and certify that they are the legal parent or guardian of the child registering to
participate in our services and that the child is under eighteen years of age, has explicit consent for participation, and is physically and mentally capable of participating in all activities involved.
The parent or guardian agrees to personally supervise the minor's use of the Navia Bathhouse and website at all times and assumes complete risk and liability associated with such use as comprehensively outlined in these terms and conditions.
The parent or guardian confirms that they have read, understood, and fully comprehend these terms and conditions, agree on behalf of their child to be bound by each and every condition, and acknowledge and accept them voluntarily without coercion or inducement.
We may, at any time and at our sole discretion, request written confirmation from a parent or guardian demonstrating that they have proper legal authority and permission to allow the minor to access and
use Navia Bathhouse facilities and services.
We reserve the absolute right to restrict access and refuse entry to minors for particular Navia products, services, treatments, or facility areas based on safety considerations, appropriateness, or operational requirements.
RELATIONSHIP WITH MEMBERSHIP TERMS AND CONDITIONS
If you are a Navia member, you are additionally bound by our Membership Terms and Conditions (available on our website), which govern member-specific matters such as membership types, fees, payment, suspension, and cancellation. In the event of any inconsistency between these Terms and the Membership Terms and Conditions, the Membership Terms and Conditions prevail in respect of member-specific matters.
INTELLECTUAL PROPERTY RIGHTS
The Navia Bathhouse website, associated mobile applications, and all related content including but not limited to text, graphics, images, logos, videos, audio content, software applications, and design elements are owned exclusively by us or our authorised licensors and are protected by applicable intellectual property laws, copyright legislation, and international treaties.
Any license granted to you for website access and usage does not transfer ownership of any intellectual property rights and remains revocable at our discretion without notice.
You may access and use our website and related digital platforms solely for personal, non-commercial purposes in strict accordance with these terms and conditions.
You are expressly prohibited from copying, modifying, distributing, storing, transmitting, publishing, displaying, performing, reproducing,
or creating derivative works from our website's content without our prior written consent and authorisation.
By uploading, sharing, posting, or otherwise providing any content on our website, social media platforms, or other digital channels, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media format for any purpose related to our business operations. You confirm and warrant that you own all rights to the content you share or have obtained all necessary permissions and licenses to grant us the rights described herein. We reserve the right to remove your content,
terminate your license, or restrict your access at any time without notice or explanation.
You must not attempt to alter, copy, reverse-engineer, decompile, disassemble, hack, or otherwise attempt to access our website's source code, underlying technology, proprietary systems, or confidential information.
You cannot use our website, mobile applications, or any products or services purchased through them for any commercial purposes including but not limited to advertising, sales, marketing, promotional activities, competitive analysis, or business operations without our express
written permission.
LIABILITY AND RISK ACKNOWLEDGMENT
You acknowledge and expressly agree that Navia Bathhouse constitutes a recreational service within the meaning of section 139A of the Competition and Consumer Act 2010 as our services represent either a sporting event or similar leisure time pursuit, or other activity that involves a significant degree of physical exertion or physical risk and is undertaken for the purpose of recreation, enjoyment, or leisure activities.
The provisions of the Competition and Consumer Act 2010 imply certain guarantees into contracts for the supply of certain goods and services, including warranties that services will be rendered with due
care and skill and that goods supplied will be reasonably fit for their intended purpose and use.
By agreeing to these terms and conditions, you expressly agree that the application of Subdivision B of Division 1 of Part 3-2 of the Australian Consumer Law are excluded to the fullest extent permitted by
law, all rights under Subdivision B of Division 1 of Part 3-2 of the Australian Consumer Law are excluded to the fullest extent permitted by law, and all liability of the released parties for any failure to comply with a guarantee under Subdivision B of Division 1 of Part 3-2 of the Australian Consumer Law is excluded to the fullest extent permitted by law, in relation to the supply of our activities and services and to the extent any liability is in respect of death of any person, physical or mental injury of any person including the aggravation, acceleration, or recurrence of such injury, the contraction, aggravation, or acceleration of any disease, or the coming into existence, aggravation, acceleration, or recurrence of any other condition, circumstance, occurrence, activity, form of behaviour, course of
conduct, or state of affairs in relation to an individual that is or may be
harmful or disadvantageous to an individual or the community, or that may result in harm or disadvantage to an individual or the community.
RELEASE AND INDEMNIFICATION
To the fullest extent permitted by law and in consideration of
being permitted to access Navia Bathhouse facilities and our website at naviabathhouse.com.au and our acceptance of your patronage, you agree that you will not make, take, pursue, or seek any claim against ABN 65 681 769 433 and its directors, officers, employees, agents, representatives, contractors, and independent contractors, all collectively referred to as "the Navia Team," arising directly or indirectly out of or in connection with
your participation in our services.
You unconditionally and irrevocably forever waive, release, acquit, covenant not to sue, and discharge the Navia Team from and against any loss, liability, cost including all legal costs and expenses on a full indemnity basis, expense, damage, charge, penalty, outgoing, or payment, however arising and whether present, unascertained, future, or contingent, and includes all direct, indirect, and consequential loss collectively referred to as "Loss" arising directly or indirectly out of or in connection with your participation in our services.
Without limiting the generality of the above provisions, you acknowledge and expressly agree that in the event that you sustain any injury, harm, damage, or loss, you will bring no claims, legal or otherwise, against the Navia Team in respect of that injury, harm, damage, or loss, and you hold the Navia Team completely harmless from any such claims, demands, or legal actions.
You agree to release, waive, acquit, covenant not to sue, and forever discharge the Navia Team from all claims including but not limited to claims for negligence, gross negligence, breach of contract, breach of
statutory duty, or breach of any other legal obligation, or right to compensation for damages you may claim to have or that you may have arising out of acts or omissions by yourself or by the Navia Team, as a result of advice given by us or otherwise resulting from the services provided by us.
You further agree to hold harmless and indemnify the Navia Team from any and all claims made against or loss suffered by the Navia Team, which arises directly or indirectly as a result of or in connection with your participation in our services, your breach of these terms, or your violation of any law or
regulation.
These terms and conditions shall be binding upon and inure to the benefit of your heirs, executors, administrators, personal representatives, successors, assigns, and agents. These terms and conditions operate jointly and severally in favour of each member of the Navia Team, and each
member may enforce these terms independently without requiring involvement of other parties.
ACKNOWLEDGMENT OF UNDERSTANDING
By accessing any of our services, facilities, or digital platforms, you acknowledge and confirm that you have read these terms and conditions in their entirety, fully understand their implications, legal effect,
and consequences, and agree to be bound by them without reservation.
You acknowledge that you are eighteen years of age or over and have the legal capacity to enter into this agreement, or alternatively, if you are under eighteen years of age, your parent or legal guardian has read, understood, and agreed to the age requirements section and all other provisions of these terms on your behalf with full legal authority to do so.
You, or your parent or guardian if relevant, understand and acknowledge that you are giving up substantial legal rights by agreeing to these terms and accepting the risk allocations, liability limitations, and indemnification provisions contained herein.
You further acknowledge that by accessing either Navia Bathhouse facilities or our website, you agree to these terms and conditions freely and voluntarily, without any inducement, assurance, promise, representation, or guarantee being made to you other than those expressly set forth in these terms and conditions.
GENERAL PROVISIONS
Navia Bathhouse reserves the absolute right to make changes, modifications, additions, deletions, or amendments to these terms and conditions at any time without prior notice to you or any obligation to
provide advance warning. Any changes made are effective immediately from the time of publishing on our website and supersede all previous versions.
These terms and conditions constitute the entire agreement between you and Navia Bathhouse regarding the subject matter herein and supersede all
prior agreements, understandings, representations, negotiations, or discussions whether written or oral.
If any provision of these terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect
without impairment.
These terms are governed by the laws of New South Wales, Australia, and any disputes, controversies, or legal proceedings shall be subject to the exclusive jurisdiction of the courts of New South Wales without regard to conflict of law principles.
